    On 16th April 2001 the Commission  through gazette notification has withdrawn the waiver of approval requirement of capital by the public limited companies which  was given earlier. If the capital requirement for existing and fund to be raised by any public limited company exceeds Tk. 1.00 crore  consent of the Commission has been made mandatory.

     Accordingly, the Commission has accorded consent to the following capital raising  proposals  of the companies other than public issue:

    In order to operate the securities market in an orderly and transparent manner the Commission has issued the following directives concerning initial public offerings under section 2CC of the Securities and Exchange Ordinance, 1969 :
    The issuer shall not allow any discount or pay fee to the private placement holders and underwriters shall not share underwriting fee received by them;
    The issuer shall furnish report to the Commission on utilization of IPO proceeds within 15 days of the closing of each quarter and the Commission may employ or engage any person to examine whether the issuer has utilized the proceeds for the purpose disclosed in the prospectus;
    Notwithstanding anything contained in Public Issue Rules, 1998 regarding limitation of time on closure of subscription, the subscription will remain open for two days;
    The Prospectus shall be published in one national daily (widely circulated preferably in Bengali). Provided that information relating to publication of prospectus be published in two daily national newspapers (Bengali and English); 
    The company shall inform all successful applicants within 4 (four) weeks from the date of subscription closing. At the same time unsuccessful applicants will be refunded with application money within 4 (four) weeks from the closing of subscription;
    If application money of unsuccessful applicants are refunded after 4 (four) weeks, interest @ 5% above bank rate will be paid to them along with the refund money.
